Auction listing, bidding & transaction rules

The rules governing submission, listing, bidding, fees, and completion of Auctions on the Petrol Head Motor Company LLC platform. Please read them carefully before participating.

1. Scope, acceptance, and relationship to other terms

1.1 Scope. These Auction Listing, Bidding, and Transaction Rules govern the submission, review, preparation, publication, promotion, bidding, auction, purchase, and sale of cars, motorcycles, Man Cave Collectibles, and other approved Items through the Platform operated by Petrol Head Motor Company LLC.

These Rules apply to Sellers, Buyers, bidders, Winning Bidders, and any other person participating in an Auction or using the Platform's auction related services.

1.2 Acceptance. By submitting an Item for review, paying a Listing Fee, approving a Listing, purchasing a Promotion Package or other auction related service, placing a Bid, becoming a Winning Bidder, or otherwise participating in an Auction, you agree to be bound by these Rules.

You must not participate in an Auction if you do not agree to these Rules.

1.3 Relationship to the Terms of Service. These Rules form part of, and must be read together with, PHM's Terms of Service. The Terms of Service govern general use of the Platform, including accounts, user content, community features, intellectual property, disclaimers, limitations of liability, indemnification, suspension, termination, and dispute resolution.

These Rules govern matters specifically relating to Submissions, Listings, Auctions, Bids, Bid Holds, fees, Auction results, and completion of transactions between Buyers and Sellers.

1.4 Priority. Any Seller Auction Authorization and any Listing-specific fee, Reserve Price, auction duration, category, Promotion Package, or other transaction detail displayed on a Listing Page or accepted during the submission or bidding process will supplement these Rules for that Auction. A Seller Auction Authorization controls on item-specific terms between PHM and the Seller. Such terms do not otherwise amend or override these Rules unless PHM expressly states that they do.

1.5 Privacy. PHM's collection, use, disclosure, retention, and protection of personal information in connection with Listings, Bids, payments, verification, and transactions are governed by the Privacy Policy.

2. Definitions

  • Accepted Submission: means a Submission that PHM has approved to proceed to listing preparation. Acceptance does not mean that the Item has been published or that PHM guarantees publication or sale.
  • Auction: means a timed online bidding process conducted or administered through the Platform for the sale of an Item.
  • Auction Close: means the time at which bidding ends, including any automatic extension, suspension, restart, or other adjustment made under these Rules.
  • Auction Services: means the services PHM provides in connection with an Auction, including submission review, Listing preparation, publication, promotion, bidding infrastructure, payment authorization, auction administration, and confirmation of results.
  • Bid: means a binding offer submitted through the Platform to purchase an Item at the amount stated.
  • Bid Hold: means a temporary authorization placed on a bidder's Card when a Bid is submitted. A Bid Hold is not itself a charge, although it may reduce the available balance or credit on the Card while it remains pending.
  • Buyer: means a user who places a Bid or is confirmed as the Winning Bidder in an Auction administered through the Platform.
  • Buyer Premium: means the service fee payable to PHM by the Winning Bidder in addition to the Hammer Price. The applicable rate, minimum, and maximum cap depend on the category of the Item.
  • Card: means a valid payment card accepted by PHM's Payment Processor and maintained by a user for bidding and payment purposes.
  • Car: means an Item classified by PHM in the Cars category for Listing Fee, Bid Hold, Buyer Premium, and other Auction purposes.
  • Hammer Price: means the final winning Bid confirmed at Auction Close. It does not include the Buyer Premium, taxes, title or registration costs, delivery expenses, third party fees, or any other amount payable in connection with the transaction.
  • Item: means a car, motorcycle, Man Cave Collectible, or other property accepted by PHM for listing through the Platform.
  • Listing: means the description, photographs, videos, disclosures, specifications, comments, bidding information, and other materials published on the Platform in connection with an Item.
  • Listing Fee: means the service fee payable by a Seller after PHM accepts a Submission and before the Listing proceeds through preparation and publication.
  • Listing Page: means the Platform page on which an Item, Auction details, applicable fees, bidding activity, and related information are displayed.
  • Man Cave Collectible: means automotive memorabilia, signs, equipment, décor, collectibles, or other approved non-vehicle Items listed within PHM's Man Cave category.
  • Motorcycle: means an Item classified by PHM in the Motorcycles category for Listing Fee, Bid Hold, Buyer Premium, and other Auction purposes.
  • No Reserve Auction: means an Auction in which the Item is offered without a minimum sale price and, subject to these Rules, is sold to the Winning Bidder at the Hammer Price.
  • Payment Processor: means Stripe or another third party provider used by PHM to process Cards, Bid Holds, Buyer Premiums, Listing Fees, Promotion Package fees, refunds, or other payments.
  • PHM, Company, we, us, or our means Petrol Head Motor Company LLC.
  • Platform: means PHM's website, mobile application, online marketplace, bidding system, Listing Pages, and related services and features.
  • Promotion Package: means an optional paid service purchased by a Seller to provide additional exposure or promotional support for a Listing, including the Spotlight, Amplify, or Boosted package, or any custom campaign offered by PHM.
  • Reserve Auction: means an Auction subject to a confidential minimum sale price established before publication.
  • Reserve Price: means the confidential minimum Hammer Price required for an Item to be sold in a Reserve Auction.
  • Rules: means these Auction Listing, Bidding, and Transaction Rules, as updated from time to time.
  • Seller: means the individual or entity that owns an Item or has full legal authority to submit, list, and sell it.
  • Seller Auction Authorization means the item-specific written agreement executed between PHM and the Seller before an Auction is published, identifying the owner, the Item, and the terms on which PHM is authorized to administer the Auction.
  • Submission: means the information, photographs, documents, disclosures, and other materials provided to PHM when a Seller requests that an Item be considered for listing.
  • Terms of Service: Terms of Service or Terms means PHM's general Terms of Service governing access to and use of the Platform.
  • Third Party Transaction Service: means an optional independent service, including KeySavvy or a similar provider, that Buyers and Sellers may use for payment, title transfer, identity verification, or transaction support.
  • Winning Bidder: means the bidder whose Bid is confirmed by PHM as the successful Bid at Auction Close, subject to satisfaction of any applicable Reserve Price and verification requirements.

3. PHM's role and transaction structure

3.1 Licensed Auction Business and Intermediary Platform. PHM operates an intermediary online auction platform and as a licensed Florida auction business under Auction Business License No. AB4252. Auctions are administered through the Platform under the auspices of PHM's licensed auction business and subject to applicable licensing requirements. PHM's auction business license and administration of Auctions does not make PHM the owner, Seller, Buyer, dealer, broker, consignee, inspector, transporter, escrow provider, or guarantor of any Item or transaction.

3.2 Auction Services. PHM provides the digital infrastructure and Auction Services through which independent Sellers may offer Items and Buyers may place Bids.

PHM may review Submissions, assist with Listing preparation, publish and promote Listings, operate the bidding system, administer Auction timing and procedures, process Bid Holds and fees, review Auction activity, and confirm Auction results.

PHM's performance of these functions does not mean that PHM verifies or guarantees the Item, the Listing, the Seller's statements, the Buyer's ability to complete the purchase, or the final transaction.

3.3 No Ownership, Possession, or Physical Control. PHM does not own, possess, store, take title to, or exercise physical control over any Item listed through the Platform.

Unless PHM expressly agrees otherwise in writing, PHM does not provide storage, transportation, delivery, mechanical inspection, physical inspection, appraisal, title examination, repair, restoration, or insurance services.

Each Item remains in the Seller's possession and control until it is transferred directly to the Buyer.

3.4 No Verification or Certification of Items. PHM may review a Submission or Listing for completeness, formatting, marketplace suitability, or apparent inconsistencies. Such review does not constitute an inspection, appraisal, authentication, certification, warranty, or independent verification of:

  • the Item's condition, quality, safety, roadworthiness, authenticity, or value;
  • the accuracy of the mileage, service history, accident history, ownership information, or Seller disclosures;
  • the validity or status of title, registration, liens, or other legal interests; or
  • the identity, authority, financial capacity, or conduct of any Buyer or Seller.

Buyers and Sellers remain responsible for conducting their own due diligence.

3.5 No Custody of Hammer Price. PHM does not receive, hold, escrow, transmit, or control the Hammer Price payable for an Item.

The Winning Bidder must pay the Hammer Price directly to the Seller or through an optional Third Party Transaction Service agreed upon by the Buyer and Seller.

PHM's financial involvement is limited to processing and collecting its own fees, including Listing Fees, Buyer Premiums, Promotion Package fees, photography fees, and other disclosed service fees, together with any related Bid Holds or payment authorizations.

3.6 Direct Contract Between Buyer and Seller. When an Auction closes with a confirmed Winning Bidder and any applicable Reserve Price has been met, the contract for the sale of the Item is formed directly between the Buyer and the Seller.

PHM is not a party to the underlying contract of sale and does not assume the obligations of either party concerning payment of the Hammer Price, title transfer, delivery, pickup, registration, taxes, condition, inspection, acceptance, or completion of the transaction.

3.7 No Guarantee of Sale or Performance. PHM does not guarantee that:

  • a Submission will be accepted or published;
  • a Listing will receive any particular level of exposure, bidding activity, or sale price;
  • a Reserve Price will be met;
  • a Buyer or Seller will complete the transaction;
  • title, possession, or payment will be transferred successfully; or
  • any dispute between users will be resolved.

PHM may provide limited administrative support or access to Platform records but is not required to mediate, enforce, or complete a transaction between a Buyer and Seller.

4. Auction participation and verification

4.1 Eligibility. To submit an Item, place a Bid, or participate in an Auction, you must satisfy the eligibility requirements in the Terms of Service, be at least eighteen years old, and have the legal capacity to enter into a binding transaction.

4.2 Account Requirements. PHM may require you to create and maintain an active account and provide accurate, current, and complete contact, payment, identity, and transaction information. You are responsible for all Auction activity conducted through your account.

4.3 Payment Method. A bidder must maintain a valid Card accepted by PHM's Payment Processor before placing a Bid.

PHM may decline or restrict bidding where a Card cannot be verified, an authorization fails, or the payment method presents a fraud or payment risk.

4.4 Verification. PHM may require identity, payment, ownership, title, dealer licence, authority, or other verification before:

  • accepting a Submission;
  • publishing a Listing;
  • allowing a user to place a Bid;
  • confirming a Winning Bidder; or
  • permitting a transaction to proceed.

Users must promptly provide complete and accurate information reasonably requested for verification.

4.5 Participation Restrictions. PHM may refuse, restrict, suspend, or revoke Auction participation where a user:

  • fails or refuses verification;
  • provides false, incomplete, or misleading information;
  • presents a payment, fraud, legal, or compliance risk;
  • violates these Rules or the Terms of Service; or
  • threatens the integrity or orderly operation of an Auction.

5. Submission and auction authorization

5.1 Submission for Review. A Seller may submit an Item to PHM for review without paying a Listing Fee.

A Submission must include the information, photographs, documents, and disclosures reasonably requested by PHM.

The Submission must identify:

  • the legal name and address of the owner of the Item;
  • the legal name and address of the person submitting the Item or employing PHM, if different from the owner;
  • the submitter's authority to act for the owner, where applicable; and
  • sufficient information to identify the Item, including its VIN, serial number, registration number, or another applicable identifying number.

5.2 Acceptance or Rejection. PHM may accept, reject, request changes to, or require additional information concerning any Submission. Acceptance means only that the Submission may proceed to listing preparation. It does not guarantee publication, bidding activity, or sale.

5.3 Listing Fee After Acceptance. If PHM accepts the Submission, the Seller must pay the applicable Listing Fee before the Listing proceeds through preparation, Seller approval, final processing, and publication.

The Listing Fee is charged after acceptance and not when the Item is first submitted for review.

5.4 Seller Auction Authorization. Before an Auction is published, the Seller must execute a separate Seller Auction Authorization for the applicable Item. The Seller Auction Authorization will form part of the agreement between PHM and the Seller and must identify:

  • the owner's legal name and address;
  • the legal name and address of any person acting for the owner or employing PHM, if different from the owner;
  • the Item, including its category and applicable VIN, serial number, registration number, or other identifying information;
  • whether the Auction is subject to a Reserve Price or is a No Reserve Auction;
  • the applicable Listing Fee, Promotion Package, photography fee, or other Seller-paid service fee; and
  • the terms on which PHM will administer the Auction.

By executing the Seller Auction Authorization, the Seller authorizes PHM to:

  • prepare and format the Listing;
  • display the Item and Listing materials on the Platform;
  • advertise, market, and promote the Listing;
  • operate and administer the Auction;
  • process applicable fees and payment authorizations; and
  • confirm the Auction result in accordance with these Rules.

5.5 No Consignment or Transfer of Control. The Seller Auction Authorization does not transfer ownership, title, possession, custody, or physical control of the Item to PHM and does not create a consignment arrangement. The Seller retains possession and control of the Item until it is transferred directly to the Buyer.

PHM does not receive the Item for physical sale and does not receive, hold, transmit, or remit the Hammer Price. The Winning Bidder pays the Hammer Price directly to the Seller or through a Third Party Transaction Service selected by the Buyer and Seller. PHM collects only its separately disclosed service fees.

5.6 Electronic Execution and Records. The Seller Auction Authorization may be executed electronically through the Platform. The Seller's affirmative acceptance, together with the date, time, applicable Item, document version, and account information, will constitute the Seller's electronic signature and agreement.

PHM will provide the Seller with an electronic copy of the executed Seller Auction Authorization by email, download, or another retrievable electronic method. PHM will retain a copy for at least two years after the date of the Auction and may retain it for a longer period where reasonably necessary for legal, regulatory, tax, transaction, or dispute purposes.

5.7 Auction Records. PHM will maintain a record of each Auction as required by applicable law, including the Seller Auction Authorization, the Item and Seller information, material Listing terms, bidding activity, the Auction result, PHM fees, and payment authorizations or charges processed by PHM. PHM will retain required Auction records for at least two years after the Auction, or longer where required by law or reasonably necessary for legal, regulatory, tax, transaction, or dispute purposes.

6. Seller representations and disclosures

6.1 Ownership and Authority. The Seller represents and warrants that the Seller:

  • owns the Item or has full legal authority to list and sell it;
  • has the right to transfer valid title or ownership to the Buyer; and
  • has disclosed any limitation affecting the Seller's authority to complete the transaction.

A Seller must not submit an Item that is stolen, subject to an ownership dispute, or listed without the lawful owner's authorization.

6.2 Accuracy and Completeness. The Seller is responsible for the accuracy, completeness, and truthfulness of the Submission, Listing, and all related statements and materials.

The Seller must not omit or misrepresent any fact that could reasonably affect a Buyer's decision to Bid or purchase the Item.

6.3 Title verification. For cars and motorcycles, the Seller must disclose:

  • the name in which title is held;
  • the title status, including whether it is clean, salvage, rebuilt, bonded, or otherwise branded;
  • any ownership restriction, title defect, or transfer issue; and
  • any outstanding loan, lien, security interest, or other encumbrance.

At Submission, the Seller must disclose the titled owner, title status, and any lien, security interest, or other encumbrance affecting the Item. Before publication, PHM may require documentary evidence of ownership or legal authority to sell. At transaction completion, the Seller must be able to provide transferable title or other lawful ownership documentation.

PHM may approve electronic titles, lienholder-held titles, financed vehicles, dealership inventory, estates, trusts, powers of attorney, or other lawful ownership arrangements, subject to any verification or documentation PHM requires.

6.4 Condition and History. The Seller must disclose all known material information concerning the Item, including, where applicable:

  • defects, damage, deterioration, or mechanical problems;
  • accident, flood, fire, theft, or total-loss history;
  • structural repairs or material modifications;
  • known safety or roadworthiness concerns;
  • service and maintenance history; and
  • any other matter that may materially affect condition, value, use, or transfer.

6.5 Odometer and Mileage. For vehicles subject to odometer disclosure requirements, the Seller must provide an accurate odometer reading and disclose whether:

  • the mileage shown is the actual mileage;
  • the mileage exceeds the odometer's mechanical limits; or
  • the actual mileage is unknown.

The Seller remains responsible for completing any legally required odometer disclosure at the time of transfer.

6.6 Listing Materials. The Seller must provide photographs, videos, descriptions, records, and supporting documents that fairly represent the Item. The Seller must not use altered, manipulated, or AI-generated content to conceal defects or misrepresent the Item's condition, history, appearance, or authenticity.

6.7 Continuing Duty to Update. If the Seller becomes aware that any Submission or Listing information is inaccurate, incomplete, outdated, or misleading, the Seller must promptly notify PHM.

PHM may amend, pause, remove, or cancel the Listing where a material correction cannot reasonably be made before Auction Close.

6.8 Dealer Requirements. A Seller acting as a vehicle dealer must hold all licences, registrations, and authorizations required in the jurisdiction where the Seller operates.

The dealer must comply with all laws applicable to the advertisement and sale of the Item, including any requirement to prepare, display, and provide a compliant FTC Buyers Guide for a used vehicle. PHM may require proof of current dealer licensing, a Buyers Guide, and other dealer-specific documentation before accepting or publishing a Listing.

7. Listing preparation, publication, and withdrawal

7.1 Listing Preparation. After the Listing Fee is paid, PHM may complete its listing checklist, prepare or revise the Listing, and request additional information or materials from the Seller.

PHM may edit Listing materials for clarity, formatting, consistency, length, presentation, or technical requirements without changing their material meaning.

7.2 Seller Review and Approval. PHM may provide the draft Listing to the Seller for review before publication.

The Seller must promptly identify and correct any inaccurate, incomplete, or misleading information. Approval of the draft confirms that the Seller has reviewed the Listing and accepts responsibility for its contents.

7.3 Publication. A Listing will be published only after PHM completes its review and any required Listing Fee, verification, documentation, Seller approval, and Seller Auction Authorization requirements have been satisfied.

PHM may determine the publication date, Auction start time, Auction duration, category, format, and presentation of the Listing.

7.4 Changes After Publication. The Seller must not materially change the Item, its availability, or the terms of sale after publication without PHM's prior approval. The Seller may not increase the Reserve Price after publication. The Seller may request to lower the Reserve Price, subject to PHM's prior approval.

PHM may correct, supplement, pause, or remove a Listing where necessary to address inaccurate information, technical issues, legal requirements, fraud concerns, or marketplace integrity.

7.5 Seller Withdrawal. A Seller may request withdrawal before publication, but the Listing Fee remains non-refundable once paid.

After publication, the Seller may not withdraw the Item or end the Auction without PHM's approval. PHM may deny a withdrawal request where Bids have been placed or withdrawal would prejudice bidders or the integrity of the Auction.

7.6 PHM Cancellation or Removal. PHM may reject, delay, suspend, remove, or cancel a Listing or Auction where:

  • the Seller fails to provide required information or cooperation;
  • the Listing is inaccurate, misleading, unlawful, or inconsistent with these Rules;
  • ownership, title, payment, verification, or fraud concerns arise;
  • the Item becomes unavailable or materially changes;
  • a technical or operational issue affects the Auction; or
  • PHM reasonably determines that cancellation is necessary to protect users or the Platform.

7.7 Fee Treatment Following Cancellation. Listing Fees are non-refundable where the Seller withdraws the Item, breaches these Rules, provides inaccurate information, or causes the Listing or Auction to be cancelled.

Any refund or credit arising from a cancellation caused solely by PHM is governed by Section 11.3.

8. Auction format and closing

8.1 Auction Duration. An Auction will run for the period stated on the Listing Page, ordinarily between seven and fourteen days. PHM may set or adjust the Auction start and closing times before publication and may extend, suspend, restart, or cancel an Auction as permitted by these Rules.

8.2 Opening Bids and Bid Increments. There is no mandatory minimum item value or minimum opening Bid unless a specific Listing states otherwise. PHM may establish and display minimum Bid increments for an Auction. A Bid that does not satisfy the applicable increment or technical requirements may be rejected.

8.3 Reserve Auctions. In a Reserve Auction, the Item will not be sold unless the highest Bid meets or exceeds the Reserve Price.

The Reserve Price is confidential unless PHM or the Seller expressly states otherwise. The Seller may not increase the Reserve Price after the Auction is published. The Reserve Price may be lowered only with PHM's prior approval.

8.4 No Reserve Auctions. In a No Reserve Auction, the Item is offered without a minimum sale price and, subject to these Rules, must be sold to the Winning Bidder at the Hammer Price. Once an Auction is published as No Reserve, the Seller may not add a Reserve Price or convert it into a Reserve Auction.

8.5 Auction Extensions. If a Bid is placed during the final two minutes of an Auction, the closing time will automatically extend by an additional two minutes. The Auction will continue to extend in two-minute intervals until a complete two-minute period passes without a new Bid.

8.6 Auction Close and Winning Bidder. At Auction Close, the highest valid Bid will be treated as the successful Bid, subject to:

  • satisfaction of any Reserve Price;
  • payment and identity verification;
  • confirmation of the Bid and Bid Hold;
  • review for fraud, error, manipulation, or technical failure; and
  • PHM's confirmation of the Auction result.

PHM may delay confirmation while it reviews any issue affecting the validity or integrity of the Auction.

8.7 Reserve Price Not Met. If the Reserve Price is not met:

  • no sale is formed through the Auction;
  • no Buyer Premium is charged;
  • Bid Holds will be released; and
  • the Listing Fee remains non-refundable.

8.8 Post-Auction Negotiations. Where the Reserve Price is not met, the Seller and highest bidder may negotiate a private sale directly.

PHM is not a party to, does not charge a fee on, and assumes no responsibility for any resulting transaction unless PHM expressly agrees otherwise.

Any resulting private sale is outside PHM's Auction Services and does not create a Buyer Premium or other Auction fee. The Terms continue to govern the parties' use of the Platform, communications, personal information, fraud, prohibited conduct, and other Platform activity connected with the negotiation.

8.9 Auction Administration. PHM may reject or disregard invalid Bids, correct displayed errors, resolve tied or disputed Bids, and take reasonable action necessary to determine the Auction result and preserve the integrity of the bidding process.

9. Bidding rules and auction integrity

9.1 Binding Bids. Each Bid is a binding and irrevocable offer to purchase the Item at the amount submitted. A user must not place a Bid unless willing and financially able to complete the purchase if confirmed as the Winning Bidder and any applicable Reserve Price is met.

9.2 Account Responsibility. A bidder is responsible for Bids placed through the bidder's account. A bidder must promptly notify PHM of suspected unauthorized access. PHM may investigate the circumstances and determine whether an affected Bid should be cancelled under these Rules.

9.3 No Ordinary Bid Withdrawal. Bids may not be withdrawn because a bidder changes their mind, fails to conduct adequate due diligence, misunderstands the Listing, or becomes unable or unwilling to complete the purchase.

9.4 Bidding Errors. A bidder who makes a clear typographical or entry error must notify PHM immediately and no later than fifteen minutes after placing the Bid and before PHM confirms the Auction result. The notice must identify the Bid and explain the error.

PHM may, in its sole discretion, correct or cancel the Bid where PHM is satisfied that a genuine and obvious entry error occurred. Reporting an error does not automatically cancel the Bid. PHM may refuse a request that is late, unsupported, suspicious, prejudicial to the Auction, or based on a change of mind, inadequate due diligence, misunderstanding of the Listing, or inability to complete the purchase.

9.5 Bid Review and Cancellation. PHM may reject, cancel, remove, or disregard a Bid where PHM reasonably believes that the Bid:

  • resulted from fraud, error, unauthorized account use, or technical failure;
  • was placed without a valid payment authorization;
  • was made to manipulate the Auction;
  • violates these Rules or the Terms of Service; or
  • otherwise threatens the integrity of the Auction.

9.6 Prohibited Bidding Conduct. A Seller must not Bid on the Seller's own Item or directly or indirectly arrange for another person to Bid for the purpose of increasing the price, meeting a Reserve Price, or creating false bidding activity.

This prohibition applies to the Seller's employees, agents, household members, family members, affiliates, and any person acting in coordination with the Seller. Users must not coordinate Bids, suppress competition, discourage genuine bidders, use multiple accounts, submit false Bids, or otherwise manipulate the price or outcome of an Auction.

Users must not use comments, messages, community features, or other Platform tools to publish false information, interfere with bidding, intimidate bidders, divert a live transaction, or undermine an Auction.

A PHM owner, officer, employee, contractor, service provider, or other person who administers an Auction or has access to material non-public information concerning the Auction must not Bid directly or indirectly in that Auction or arrange for another person to Bid on their behalf.

9.7 Enforcement. PHM may cancel affected Bids, suspend or cancel an Auction, remove a Listing, restrict accounts, withhold confirmation of a result, or take any other action reasonably necessary where bidding misconduct or manipulation is suspected.

10. Bid holds and buyer premiums

10.1 Bid Hold. When a Bid is placed, PHM's Payment Processor will authorize a fixed Bid Hold of $200 for Cars and Motorcycles or $100 for Man Cave Collectibles on the bidder's Card. The Bid Hold remains the same if the bidder later places a higher Bid and does not increase with the Bid amount.

The Bid Hold is an authorization and not a charge, although it may temporarily reduce the available balance or credit on the Card.

10.2 Release and Charge. If a bidder is outbid or does not become the Winning Bidder, PHM's Payment Processor will initiate release of the Bid Hold. The release is generally reflected promptly, but the timing is controlled by the Payment Processor and the bidder's bank or Card issuer and may take one business day or longer.

For the Winning Bidder, PHM will charge the actual Buyer Premium to the Card on file. The fixed Bid Hold does not limit or cap the Buyer Premium payable by the Winning Bidder.

10.3 Buyer Premium. The Buyer Premium is payable by the Winning Bidder in addition to the Hammer Price:

  • Cars: 3.5% of the Hammer Price, subject to a $200 minimum and $5,000 cap.
  • Motorcycles at or below $8,000: 4.5% of the Hammer Price, subject to a $200 minimum and $5,000 cap.
  • Motorcycles above $8,000: 5.5% of the Hammer Price, subject to a $200 minimum and $5,000 cap.
  • Man Cave Collectibles: 7% of the Hammer Price, subject to a $35 minimum and $5,000 cap.

The applicable motorcycle rate is determined by the final Hammer Price at Auction Close.

10.4 Disclosure and Non-Refundability. The applicable Buyer Premium rate, minimum, cap, estimated total, and Bid Hold will be disclosed before a Bid is confirmed. Once an Auction closes and a Winning Bidder is confirmed, the Buyer Premium is earned and non-refundable, including where the Winning Bidder later fails to complete the purchase, except where the charge results from PHM error or an Auction cancelled by PHM.

11. Listing fees and relisting

11.1 When the Listing Fee Is Charged. There is no fee to submit an Item for review. If PHM accepts the Submission, the Seller must pay the applicable Listing Fee before the Listing proceeds to preparation and publication.

The Listing Fee covers access to PHM's Auction Services and is payable whether or not the Item ultimately sells.

11.2 Listing Fee Schedule. The Listing Fees are:

  • Cars: $49;
  • Motorcycles: $49;
  • Man Cave Collectibles: $30.

11.3 Non-Refundability. Once paid, the Listing Fee is non-refundable if the Seller withdraws the Item, the Reserve Price is not met, the Item does not sell, the Buyer defaults, or the Listing or Auction is cancelled because of the Seller's conduct or breach of these Rules.

PHM will refund the Listing Fee where PHM cancels the Listing solely because of PHM's error or inability to provide the applicable Listing service and the cancellation is unrelated to the Seller's conduct. With the Seller's agreement, PHM may apply the amount as a credit instead.

11.4 Relisting. Where a confirmed Winning Bidder fails to complete the purchase, the Seller may relist the same Item once without paying an additional Listing Fee, subject to PHM's approval and any updated Listing requirements.

12. Promotion packages and photography

12.1 Optional Promotion Packages. A Seller may purchase an optional Promotion Package to increase the visibility of a Listing:

  • Spotlight ($50): Rotating homepage and category placement, promotional badge, and social media post.
  • Amplify ($150): Spotlight features, social post and story, newsletter feature, advertising boost, and ending-soon promotion.
  • Boosted ($300): Amplify features, increased advertising support, and retargeting.

Unless otherwise disclosed when purchased, each Promotion Package applies for the duration of the relevant Auction. The Auction's duration will be stated on the Listing Page.

12.2 Promotion Conditions. Promotion Packages provide additional exposure only. PHM does not guarantee any number of impressions, clicks, views, Bids, any particular Hammer Price, or a successful sale.

PHM may determine the timing, format, creative content, audience, platform, and capped advertising budget used to provide the promotion.

12.3 Photography Service. PHM may offer an optional professional photography service to Sellers in South Florida for $275.

The photography fee is separate from all Promotion Packages and becomes non-refundable once the photography session is scheduled. Promotion Package fees are non-refundable once purchased.

If PHM cancels a purchased Promotion Package or photography service because of PHM's error or inability to provide the service, PHM will refund the affected fee or, with the Seller's agreement, apply it as a credit.

13. Payment methods and third-party services

13.1 Payment Methods. All PHM fees are stated in U.S. dollars.

Listing Fees, Promotion Package fees, and photography fees may be paid by Card through PHM's Payment Processor or by an approved cryptocurrency payment method. Buyer Premiums and Bid Holds are Card-only. Unless expressly stated otherwise, PHM's fees do not include applicable taxes. PHM may calculate, collect, and remit taxes on its fees where required by law.

13.2 Cryptocurrency Payments. Cryptocurrency payments are available only through a payment provider designated by PHM. The applicable fee remains denominated in U.S. dollars, and the provider's exchange rate, network fees, verification requirements, confirmation procedures, transaction limits, and refund rules will apply.

PHM does not provide cryptocurrency wallets, exchange services, custody, or money-transmission services for users.

13.3 Hammer Price. The Hammer Price must be paid directly by the Buyer to the Seller. PHM does not receive, hold, or escrow that payment.

The Buyer and Seller may mutually agree to use KeySavvy or another Third Party Transaction Service for payment, title transfer, or related transaction support. Use of such a service is optional, and its fees are separate from PHM's fees.

Any Third Party Transaction Service operates under its own terms and policies. PHM is not responsible for its charges, delays, decisions, errors, restrictions, or performance.

14. Transaction completion, defaults, and enforcement

14.1 Completion of the Sale. After Auction Close, the Winning Bidder and Seller must promptly communicate and complete the transaction directly, including payment of the Hammer Price, title or ownership transfer, required documentation, taxes, registration, pickup, delivery, and any agreed inspection or Third Party Transaction Service. PHM is not responsible for completing or enforcing the underlying sale between the Buyer and Seller.

The Buyer and Seller are independently responsible for:

  • communicating and confirming transaction details;
  • payment and receipt of the Hammer Price;
  • completing bills of sale, title documents, lien releases, registrations, and other required records;
  • arranging inspection, pickup, shipping, transportation, storage, and insurance;
  • paying applicable taxes, registration fees, transfer fees, and third party expenses; and
  • complying with all laws applicable to the Item and transaction.

Unless the Listing expressly states otherwise or applicable law requires otherwise, each Item is offered by the Seller on an "as is, where is, with all faults" basis. Buyers remain responsible for inspection and due diligence. This provision does not limit any non-waivable disclosure, warranty, or other obligation imposed on the Seller by law.

14.2 Buyer Default. A Winning Bidder who fails or refuses to complete the purchase remains responsible for the Buyer Premium, which is non-refundable.

PHM may cancel the transaction process, suspend or terminate the Buyer's account, restrict future bidding, assist the Seller with relisting, and take other reasonable enforcement action.

Following a confirmed Buyer default, the Seller may be eligible for the free relist described in Section 11.4. Any other remedies between the Buyer and Seller are determined by applicable law.

14.3 Seller Default. A Seller must complete the sale where the Auction closes with a confirmed Winning Bidder and any applicable Reserve Price has been met.

If the Seller refuses or fails to complete the sale without lawful justification, PHM may cancel the transaction process, remove the Listing, restrict or terminate the Seller's account, and prohibit future Listings.

PHM does not guarantee that the Buyer will recover the Item, the Hammer Price difference, expenses, or any other loss from the Seller.

14.4 Fee Circumvention and Improper Transactions. Users must not use the Platform, Listings, comments, messages, or other features to avoid PHM's fees, divert a live Auction, arrange a side transaction intended to defeat an Auction result, or otherwise interfere with PHM's fee structure.

This restriction does not prohibit a private post-auction negotiation expressly permitted under Clause 8.8 after a Reserve Price is not met.

14.5 Enforcement and Information Disclosure. PHM may cancel Bids, suspend or cancel Auctions, remove Listings, restrict features, suspend accounts, permanently terminate access, refuse future participation, or refer suspected unlawful conduct to appropriate authorities.

PHM may preserve or disclose account, verification, Listing, bidding, payment, or transaction information only as permitted by the Privacy Policy, with user consent, in response to lawful process, or as required by law.

15. Technical failures

15.1 Technical Failures and Corrections. If a system outage, delayed or duplicate Bid, payment failure, incorrect closing time, display error, or other technical or operational issue may have affected an Auction, PHM may pause, extend, restart, cancel, or void the Auction or any affected Bid. PHM may also correct clerical, calculation, fee, timing, or Listing errors and delay confirmation while an issue is reviewed.

16. General provisions

16.1 Relationship to the Terms. The Terms of Service govern all matters not specifically addressed in these Rules, including disclaimers, limitation of liability, indemnification, account suspension, dispute resolution, governing law, notices, severability, and force majeure.

16.2 Changes to Fees. Current fees will be disclosed on the Platform before the relevant Listing, Bid, or service is confirmed. PHM will provide at least thirty days' advance notice before increasing generally applicable fees for registered users. Fee reductions, discounts, and temporary promotions may take effect immediately. PHM will make its current fee schedule available through a public Platform page. The applicable fees, rates, minimums, caps, and payment authorizations will also be disclosed before the relevant Listing, Bid, or service is confirmed.

16.3 Changes to These Rules. PHM may update these Rules to reflect changes in the Platform, Auction procedures, fees, payment systems, legal requirements, or operational needs. Material changes will be posted with an updated effective date and, where appropriate, communicated by email or Platform notice.

Changes will generally apply prospectively and will not alter an Auction already in progress, unless necessary to comply with law, address fraud or security concerns, or correct a material technical or administrative error.

Continued participation in Auctions after revised Rules take effect constitutes acceptance of the revised Rules.
